For CAROLINA MEDICAL CENTER

This agreement ("Agreement") between CCBCC and the Customer is for cooperative advertising, promotion and merchandising of Bottler's Products.

Section 1. Bottler's Products

This program covers all Sparkling and Still bottled beverages including Power Elite Brands, 24pk Dasani, Sparkling 1.25-Liter packages which are dead net priced packages purchased and future consumption packages.

Section 2. Covered Stores

This program applies to the health/hospital locations operating under the CAROLINA MEDICAL CENTER trade name.

Section 3. Term and Termination

The term of this Agreement will begin on 06/12/18. Either party may terminate this Agreement without cause on 30 days' written notice.

Section 4. Advertising and Promotional Activities

Section 4A. Bottler's Products will be advertised and promoted during each feature activity made by Bottler. Products sold by any provider must make up at least 10% of the total Sparkling sales of that market in a permanent 52-week display location during Bottler's feature weeks.

Section 5. Store Display Activity and Product Availability

Section 5A. Customer will allow Bottler's personnel to construct and stock displays to be located in the primary selling positions and will consent to the placement of approved equipment as mutually agreed.

Section 6. Marketing Allowances / Discounts

Base Volume Marketing Allowances / Discounts. In consideration of the marketing and promotional rights as stated in this Agreement, Customer will receive $4.72 base volume marketing allowance per case on all Bottler's Products purchased for sales by its store(s) during the base volume period.

Section 12. Right of Offset

In case of non-payment of Bottler's invoices for product resale, Bottler has the right to offset any marketing allowances/discounts due to Customer from Bottler.
